Agreement to Terms

By accessing or using CoThinkAI ("cothinkai.app"), operated by Redstone Foundry LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use and our Privacy Policy (collectively, the "Agreement"). These Terms include our acceptable use rules, prohibited content categories, and enforcement rights. If you do not agree to any part of this Agreement, do not use our service.

Description of Service

CoThinkAI is a collaborative AI chat platform that allows users to create shared chat rooms, invite family members, friends, or colleagues, and interact with AI models together. Each room has customizable system prompts, pinned truths, and rolling conversation summaries.

User Accounts and Eligibility

To use CoThinkAI, you must:

Create an account with a valid email address
Be at least 13 years of age (or the minimum age required in your jurisdiction)
Provide accurate and complete information
Maintain the security of your account credentials

Minors: If you are under 18, you must have the consent of a parent or legal guardian to use CoThinkAI. Parents and guardians who permit a minor to use the service are fully responsible for the minor's conduct and any content they create, share, or cause to be generated. We reserve the right to require proof of parental consent at any time.

You are responsible for all activity that occurs under your account, including prompts submitted, content generated, files uploaded, room instructions configured, and any actions taken by users you invite. If you suspect unauthorized access, contact us immediately.

Rooms and Collaboration

When you create a room, you become its owner. You may invite others to join your room. Room owners are responsible for:

Managing room membership and invitations
Setting and maintaining appropriate system prompts
Ensuring all room content — including prompts, system instructions, pinned truths, summaries, and member messages — complies with these Terms and all applicable laws
Supervising minor participants in their rooms

Invited members may participate in conversations, send messages, and interact with the AI within the room. Members do not need their own paid subscription to participate.

AI-Generated Content and Third-Party Providers

CoThinkAI provides access to AI language models from multiple providers, including OpenAI, Anthropic, Google, xAI, and DeepSeek. You acknowledge and agree that:

AI-generated responses may not always be accurate, complete, or up to date
AI output should not be relied upon as professional, legal, medical, or financial advice
You are responsible for verifying any information provided by AI models
AI models may produce different results depending on context and phrasing
Your use of CoThinkAI must comply with the usage policies, safety rules, and terms of service of the underlying AI model providers. These include but are not limited to OpenAI's Usage Policies, Anthropic's Acceptable Use Policy, Google's Generative AI Prohibited Use Policy, and the terms of any other provider whose models are available through our platform. We may enforce provider policies directly.

CoThinkAI does not guarantee the accuracy or reliability of any AI-generated content. Provider policies may change over time, and it is your responsibility to remain in compliance.

User Conduct

You agree not to use CoThinkAI to:

Violate any applicable laws or regulations
Harass, abuse, threaten, stalk, or harm other users or any person
Generate or distribute harmful, illegal, or abusive content through AI
Attempt to circumvent usage limits, rate limits, safety filters, security measures, or access controls
Reverse-engineer, scrape, or misuse the platform or its AI integrations
Impersonate another person, entity, or AI system
Distribute spam, malware, or unwanted communications

Prohibited Uses of AI Services

In addition to the general conduct rules above, the following uses of CoThinkAI's AI features are strictly prohibited. You may not use CoThinkAI to:

Facilitate crimes or illegal activity — including fraud, money laundering, drug trafficking, human trafficking, or any activity prohibited by applicable law
Create scams, phishing, or deceptive content — including social engineering attacks, fraudulent schemes, impersonation for deception, or content designed to mislead
Generate malware, exploit code, or hacking tools — including instructions for unauthorized intrusion, vulnerability exploitation, or bypassing computer security measures
Create child sexual abuse material (CSAM) or exploit minors — any content that sexualizes, exploits, grooms, or endangers minors in any way. This is a zero-tolerance policy and will result in immediate termination and reporting to law enforcement, including NCMEC
Create or distribute non-consensual intimate content — including deepfakes, synthetic intimate imagery, or any sexual content depicting real people without their explicit consent
Promote violence, terrorism, or extremism — including radicalization content, instructions for weapons of mass destruction, or content that incites or glorifies violence
Produce targeted harassment, doxxing, or stalking content — including revealing private information, coordinated abuse campaigns, or content intended to intimidate specific individuals
Evade safeguards or provider restrictions — including jailbreaking, prompt injection attacks designed to bypass safety filters, circumventing rate limits or bans, or any attempt to cause models to violate their own safety policies
Make high-stakes automated decisions about people — including decisions related to employment, housing, insurance, credit, education, healthcare, law enforcement, immigration, or social benefits without qualified human review and compliance with applicable law
Generate disinformation or synthetic media for deception — including fake news, manipulated media intended to deceive the public, or content designed to interfere with elections or public health
Conduct unauthorized surveillance or profiling — including facial recognition, biometric analysis, behavioral tracking, or mass surveillance of individuals
Violate third-party AI model provider policies — your use must comply with the acceptable use policies of the underlying model provider for your selected model at all times

This list is not exhaustive. We reserve the right to determine, at our sole discretion, whether any use of the service constitutes a violation.

High-Risk and Safety-Sensitive Use

CoThinkAI is a general-purpose conversational tool. It is not designed or intended for use in safety-critical or high-stakes decision-making contexts, including but not limited to:

Medical diagnosis, treatment, or clinical decision-making
Legal advice, representation, or judicial proceedings
Financial, investment, tax, or accounting advice
Employment, hiring, or personnel decisions
Housing, lending, credit, or insurance eligibility determinations
Educational admissions or grading decisions
Law enforcement, immigration, or government benefit determinations
Operating critical infrastructure, vehicles, or industrial equipment

If you choose to use CoThinkAI in connection with any of these domains, you do so entirely at your own risk. You must ensure qualified human review of all AI output and full compliance with all applicable laws and professional standards. CoThinkAI assumes no responsibility for decisions made based on AI-generated content.

User Responsibility for Content

You are solely responsible for all content you create, submit, share, or cause to be generated through CoThinkAI. This includes but is not limited to:

Messages and prompts you send
Files, images, or documents you upload
Room system prompts and instructions you configure
Pinned truths and conversation context you set
AI-generated content that results from your prompts or instructions
Content shared or created in rooms you own or have configured

You must not submit content that you do not have the right to use, or that infringes the intellectual property, privacy, or other rights of any third party.

Monitoring, Enforcement, and Reporting

To protect the safety and integrity of the platform, its users, and the public, we reserve the right to take any of the following actions at our sole discretion, including where we suspect abuse, fraud, safety risk, legal exposure, or violation of these Terms:

Monitor and review usage, prompts, outputs, files, metadata, room content, and activity as reasonably necessary to detect, investigate, prevent, and enforce violations of these Terms, abuse, fraud, security incidents, or illegal activity
Remove content or disable rooms that violate these Terms or that we reasonably believe pose a safety, legal, or security risk
Rate-limit, restrict features, or block abusive or suspicious usage patterns
Suspend or terminate accounts — including without prior notice in cases of urgent risk, serious violations, or suspected illegal activity
Preserve logs and evidence related to suspected violations, abuse, or illegal activity for as long as reasonably necessary
Cooperate with law enforcement and respond to valid legal process, including subpoenas, court orders, and government requests
Report suspected illegal activity to appropriate authorities, including law enforcement agencies, NCMEC (for child exploitation), and other relevant organizations
Notify payment processors and service providers of violations that implicate their policies or legal obligations

We are not obligated to monitor all content, but we may do so at our discretion. The absence of enforcement in a particular case does not constitute a waiver of our right to enforce these Terms in other cases.

Subscriptions and Billing

CoThinkAI offers free and paid subscription plans. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you agree to:

Pay the applicable subscription fee
Automatic renewal at the end of each billing period unless canceled
Provide accurate billing information

You may cancel, upgrade, or downgrade your subscription at any time. Cancellations take effect at the end of the current billing period. Refunds are not provided for partial billing periods.

You may not use CoThinkAI in connection with businesses, products, services, or transactions that are prohibited or restricted under Stripe's terms of service, including Stripe's Restricted Businesses list. Violation of this provision may result in suspension of your account and termination of your subscription.

Content and Intellectual Property

You retain ownership of the messages and content you submit to CoThinkAI. By using the service, you grant CoThinkAI a limited license to store and process your content solely for the purpose of providing the service (e.g., generating AI responses, creating conversation summaries) and enforcing these Terms (e.g., reviewing content for compliance, safety, and abuse detection).

We do not use your conversations to train AI models. Your content is not shared with third parties except as necessary to provide the service (e.g., sending messages to AI model providers for response generation), enforce these Terms, comply with legal obligations, or protect the safety of our users and the public.

Export Controls and Sanctions

You represent and warrant that you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. trade sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not a person or entity on the U.S. Treasury Department's Specially Designated Nationals list, the U.S. Commerce Department's Entity List, or any other applicable restricted-party list.

You agree not to use CoThinkAI for any purpose prohibited by U.S. export control laws, sanctions regulations, or other applicable trade restrictions. We may restrict or terminate access from jurisdictions where providing AI services would violate applicable law.

Privacy

Your use of CoThinkAI is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including how we may process content for safety, compliance, and abuse detection purposes.

Disclaimers

CoThinkAI is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure. We are not responsible for the accuracy of AI-generated content or any decisions made based on such content.

Limitation of Liability

To the maximum extent permitted by law, Redstone Foundry LLC and CoThinkAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising out of or related to your use of the service. Our total aggregate liability for any claims related to the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Redstone Foundry LLC, CoThinkAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) content you create, submit, or cause to be generated; (d) your violation of any third-party rights; or (e) your violation of any applicable law or regulation.

Termination

We reserve the right to suspend or terminate your account at our discretion, including where we suspect abuse, fraud, safety risk, legal exposure, or violation of these Terms. In cases of serious or urgent risk, we may suspend or terminate access without prior notice. You may delete your account at any time. Upon termination, your data will be handled in accordance with our Privacy Policy, except that we may retain data as necessary to comply with legal obligations, resolve disputes, or enforce these Terms.

Changes to Terms

We may update these Terms of Use from time to time. We will notify registered users of material changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the new terms.

Dispute Resolution

Any disputes arising from these terms shall be governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. You agree to first attempt informal resolution by contacting us before pursuing formal legal action.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
